Intycode Sagl (hereinafter "Intycode", "we") owns and operates the website cleversuite.ch (hereinafter "the Website").

These Terms and Conditions (hereinafter "Terms") govern solely access to and use of the Website and of the information published on it.

These Terms do not govern use of the Clever Suite software. The licensing, installation and use of the Clever Suite applications (Clever Transfo, Clever Inductor, Clever Small T, Clever Small I and successors) are governed by a separate licence agreement concluded directly between Intycode and the customer. In the event of any discrepancy between these Terms and the licence agreement, the licence agreement prevails in all matters concerning the software.

The Website serves informational and promotional purposes: it presents the features of the Clever Suite applications and allows you to request commercial contact or a demonstration. The Website does not allow licence purchases, online payment or software downloads.

By using the Website, you agree to these Terms. If you do not agree with them, please do not use the Website.

The Website and the Clever Suite solutions are aimed exclusively at professional users — companies, engineering offices, professionals and their staff — active in the design and manufacture of transformers and inductors.

The Website is not intended for consumers within the meaning of Swiss and European consumer protection law. By using the Website and its contact forms, you declare that you are acting in the course of your professional or business activity.

The Website is not intended for children under 16.

You may browse the Website and share individual pieces of content to evaluate Clever Suite or discuss it with colleagues and advisers. The content must remain unchanged and retain any notices identifying its source.

You may not, in particular:

• use the Website for unlawful purposes or in breach of applicable law;
• reproduce, distribute, publish or make available to third parties the content of the Website for commercial purposes without Intycode's prior written authorisation;
• systematically extract content by scraping, crawling, spiders or similar automated tools, except for indexing by ordinary search engines;
• reuse the Website's content systematically to build databases or train automated systems without our written authorisation;
• attempt to access non-public areas or systems, circumvent security measures, introduce malicious code or impair the availability of the Website;
• reverse engineer, decompile or otherwise analyse the Website in order to reconstruct the algorithms or calculation methods underlying the Clever Suite solutions;
• use Intycode's trademarks, names or distinctive signs in a manner liable to cause confusion as to origin or to suggest a non-existent affiliation.

If one of these rules is breached, we may restrict or block access to the Website and take any other steps available to protect our rights.

All content on the Website — texts, images, graphics, technical illustrations, videos, layout, source code, databases, trademarks and logos — is the property of Intycode Sagl or of the respective rights holders and is protected by copyright, trademark law and other applicable legislation in Switzerland and internationally.

The distinctive signs "Clever Suite", "Clever Transfo", "Clever Inductor", "Clever Small T", "Clever Small I" and the Intycode logo are trademarks of Intycode Sagl.

Access to the Website grants you no licence or right in the content beyond what is expressly provided in section 5. Any unauthorised use is prohibited.

Testimonials and customer references published on the Website appear with the consent of the respective holders; their trademarks belong to the respective companies.

We try to keep the Website up to date, but some pages may refer to earlier product versions or specific use cases. Feature descriptions, requirements, release notes and results shown on the Website are therefore guidance, not final specifications.

The information is not a contractual offer within the meaning of Art. 7 CO and does not guarantee a particular result. The price, features and terms applicable to a purchase are those set out in the offer or agreement signed with Intycode.

Examples and figures published on the Website, including those relating to time, errors or margins, describe real experiences or indicative scenarios. Results may vary depending on the data, processes and skills of the person using the software.

Technical content relating to the design of transformers and inductors is explanatory in nature and does not replace engineering verification, testing and conformity assessment, which remain the sole responsibility of the user and the manufacturer.

We may correct or update the Website and change the features described on it. This does not change commitments already made in a signed agreement.

Anyone completing a contact form or requesting a demonstration undertakes to provide truthful, complete and up-to-date information, and declares to be authorised to communicate the contact details submitted.

Submitting a request creates no obligation for Intycode to reply, provide a demo or enter into a contract.

The data submitted is processed in accordance with the Website's Privacy Policy.

Intycode endeavours to keep the Website accessible and up to date, but does not guarantee uninterrupted, error-free or entirely risk-free operation. Access may be suspended, restricted or discontinued at any time for maintenance, updates, technical or security reasons, without notice and without giving rise to any right to compensation.

The Website may contain links to websites operated by third parties (for example LinkedIn or partner websites). Such links are provided for your convenience. Intycode exercises no control over those websites, does not adopt their content as its own and is not liable for their availability, accuracy, lawfulness or data protection practices. Access is at your sole risk and remains subject to the terms of the destination website.

The Website and its content are made available "as is". To the extent permitted by law, Intycode excludes all warranties, express or implied, as to the currency, completeness, accuracy, fitness for a particular purpose or error-free nature of the published content.

To the extent permitted by applicable law, Intycode is not liable for any direct or indirect damage arising from access to or use of the Website, from the inability to access it, from any interruption, error, virus or other harmful element, nor for damage arising from reliance on the published informational content.

Loss of profit, loss of data, reputational harm and any indirect or consequential damage are in particular excluded.

Liability for wilful misconduct and gross negligence (Art. 100 CO) and any further liability that cannot be excluded by law remain expressly reserved.

This clause does not affect the liability regime applicable to the Clever Suite software, which is governed by the licence agreement.

The processing of personal data carried out through the Website is described in the Privacy Policy. The use of cookies and similar technologies is described in the Cookie Policy. Both documents form an integral part of these Terms.

Intycode may amend these Terms at any time. The version in force is the one published on this page, with its last-updated date, and it applies to every access after publication. We recommend consulting it periodically.

Should any provision of these Terms be or become void, ineffective or unenforceable, the validity of the remaining provisions is not affected. The defective provision shall be replaced by a valid one coming as close as possible to the intended economic purpose.

These Terms and any relationship arising from use of the Website are governed exclusively by Swiss law, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for any dispute is Lugano, Switzerland, subject to appeal to the higher instances provided by law.
